Notification of membership vote regarding change to bylaws

GNOME Foundation members,

The Board is proposing a change to the GNOME Foundation bylaws to allow the
directors to determine the length of the next Board term when elections are
called. An earlier proposal was discussed on foundation-list in August, and
this modified proposal is a result of legal advice to the Board, suggesting
that we change the bylaws to provide flexibility in future.

The current text of VIII 3. (a):

  Each of the directors shall hold office for one (1) year.

Proposed text:

  Each of the directors shall hold office for one (1) year, or a period of
  up to two (2) years as determined by the Board and announced prior to an
  election being called.

Foundation Board Meeting Minutes :: 23rd Auguest 2007


Present: Lucas, Anne, Glynn, Quim, Rosanna, Jeff
Regrets: Behdad, Vincent

1) Zana's planning to be out of action with a baby due at the end of
   November. She commented that she has 2 weeks off per year as is
   the minimum requirement working for a single employee organization.
   Quim commented that the board should meet to discuss other
   timelines around Zana's maternity leave and communicate accordingly.

   ACTION: All to discuss maternity leave dates on board-private.

2) Boston Summit

   In the process of confirming the venue. There is a minor development
   where 2 groups are saying different things about the venue - one
   saying that it's free, and the other (conferencing services) saying
   it is not free. There's no current summit planning team on the ground,
   but Jeff expects that to happen once the core summit details are worked
   out.

3) Treasurer

   Vincent commented that he could do the treasurer position if no one
   else was keen. Board voted to approve Vincent as the ongoing treasurer
   after Dave's departure.

4) Election Term

   Jeff commented that his current thinking was to change the bylaws to

Who can vote?
-------------

To be able to vote, you need to be a member of the GNOME Foundation and
your membership needs to be valid at least until the end of the
referandum. For example, a member whose membership ends on September
21th 2007 won't be able to vote for the referendum.

If you're not a member of the GNOME Foundation or if you need to renew
your membership, you have to apply at
http://foundation.gnome.org/membership/application.php before September
21th 2007 (23:59 UTC).

If you have applied before this date and if you are accepted, then you
will be able to vote for these referendum.

Retraction of "Referendum Notification" in Favor of Board's Vote
Proposal

As Jeff Waugh informed Membership and Elections Committee, we don't have
"referendum" described in bylaws. Thus, we just have vote.

In order to prevent any kind of confusion, we will follow previous
proposal, and obey the dates stated in that proposal instead of the
Membership and Elections Committee's proposed time line. 

Since Committee's time line is based on the original proposal[1], this
retraction notice is just for preventing the confusion there may
exists.

1) Zana's Report

   Things are going well. Zana has been working on sending out some
   Paypal fits. She sent some updated account figures to the list
   before the call. Quim commented that these were really useful
   and asked if Zana had been checking the figures against the budget
   to see where we stand. Zana replied that she hadn't, and really
   only getting to grips with GNUcash, and that it might not be the
   best tool for budgeting. Quim mentioned that we need to be careful
   about accumulating money, as it might show the wrong impression
   to our paying advisory board members. Zana commented that the
   fiscal year closes at the end of this month, and that she didn't
   know if the budget was for the fiscal or calendar year.

   Board agreed during a post-call discussion to provide Zana with
   12 weeks maternity leave, and to monitor her progress during
   this time. Zana offered to do some basic admin during that time
   as when necessary.

   ACTION: Quim to contact Zana about her maternity leave.

2) Sponsorship Requests (Brazil, Izabel)

   Izabel has asked for sponsorship for hosting 4o. Forum GNOME
